These Terms of Service ("Terms") govern your access to and use of Connectly ("Connectly", "we", "us", or "our").

By creating an account or using Connectly, you agree to these Terms. If you are using Connectly on behalf of a business or organization, you represent that you have authority to accept these Terms on its behalf.

1. Using Connectly

Connectly provides tools for communication management, contact and CRM management, automations, workflows, integrations, analytics, and related workspace functionality.

You may use Connectly only for lawful purposes and in accordance with these Terms and applicable third-party platform policies.

You are responsible for ensuring that your use of Connectly complies with applicable laws, regulations, and the terms and policies of services that you connect to Connectly.

2. Accounts and Workspaces

You are responsible for maintaining the security of your account credentials and for activities performed through your account.

Workspace owners and administrators control workspace membership, roles, permissions, connected services, and workspace settings.

Workspace owners are responsible for ensuring that members of their workspace have appropriate access and permissions.

You must provide accurate information when creating or maintaining your account.

3. Connected Services and Integrations

Connectly may allow you to connect third-party services, including messaging platforms, Google services, and other integrations.

You authorize Connectly to access and process information from a connected service only when you explicitly authorize or enable the relevant integration.

You are responsible for selecting the integrations you connect and the permissions you grant.

For Google integrations, Connectly requests only the permissions necessary for the functionality you choose to use.

You may disconnect an integration or revoke its authorization, subject to the functionality and policies of the relevant third-party service.

Third-party services remain subject to their own terms and policies.

4. Google Sheets Integration

Connectly may provide functionality that allows users to connect Google Sheets to their Connectly workspace.

When authorized by the user, Connectly reads only the spreadsheet and tab the user selects in the Google file picker in order to import contacts, and appends or updates contact rows in that same tab when the user exports contacts.

Connectly does not create, delete, rename or restructure spreadsheets, and cannot list or open any other file in the user's Google Drive.

Connectly does not sell Google user data and does not use Google user data for advertising or unrelated purposes.

Use of Google services is also subject to Google's applicable terms, policies, and service availability.

5. Messaging and Communications

Connectly may allow you to send, receive, route, automate, or otherwise manage communications through connected messaging services.

You are responsible for ensuring that you have the necessary rights, permissions, and lawful basis to communicate with your contacts.

You must comply with applicable messaging platform policies, including requirements concerning consent, opt-outs, prohibited content, and messaging limits.

Connectly does not guarantee delivery of every message because delivery may depend on third-party platforms, providers, network conditions, recipient settings, or other factors outside Connectly's control.

6. Acceptable Use

You may not use Connectly to:

• Send unlawful, fraudulent, deceptive, abusive, threatening, or harmful content.
• Conduct spam, unsolicited bulk messaging, or abusive outreach.
• Use purchased, scraped, or unlawfully obtained contact lists where prohibited by applicable law or platform policies.
• Violate privacy, intellectual property, consumer-protection, or other applicable laws.
• Attempt to bypass rate limits, security controls, platform protections, or usage restrictions.
• Interfere with or disrupt Connectly or its infrastructure.
• Attempt to gain unauthorized access to accounts, workspaces, systems, or data.
• Upload malicious code, malware, or other harmful material.
• Use Connectly in a way that violates the terms or policies of a connected third-party service.

7. User Content and Data

You retain responsibility for the content and data that you submit, import, create, transmit, or store through Connectly.

You represent that you have the necessary rights and permissions to provide such content and data to Connectly and to use it through the connected services.

You grant Connectly the limited rights necessary to host, process, transmit, store, and otherwise handle your content solely to provide and operate the services you request.

8. Subscriptions and Billing

Certain Connectly features may require a paid subscription.

Subscription plans, prices, billing periods, limits, and included features may be presented during signup or purchase.

Unless otherwise stated, subscriptions may renew according to the selected billing period.

You are responsible for applicable taxes and charges associated with your subscription.

If a subscription is cancelled, access to paid features may continue until the end of the applicable billing period unless otherwise stated.

9. Service Availability

We work to keep Connectly available, reliable, and secure.

However, Connectly may occasionally be unavailable because of maintenance, updates, technical problems, security incidents, network failures, or circumstances outside our reasonable control.

Features that depend on third-party services may also become unavailable or change when those third parties modify their APIs, policies, systems, limits, or availability.

10. Intellectual Property

Connectly and its software, design, branding, documentation, and other original materials are owned by Connectly or its licensors and are protected by applicable intellectual-property laws.

These Terms do not transfer ownership of Connectly's intellectual property to you.

You may not copy, modify, reverse engineer, resell, redistribute, or create derivative works of Connectly except where permitted by applicable law or with our written permission.

11. Privacy

Your use of Connectly is also governed by our Privacy Policy, which explains how we collect, use, store, protect, and share information.

The Privacy Policy is available on the Connectly website.

12. Suspension and Termination

We may suspend or terminate access to Connectly when reasonably necessary to:

• Prevent security risks or abuse.
• Investigate or address violations of these Terms.
• Comply with legal or regulatory requirements.
• Protect Connectly, our users, or third parties.
• Address activity that may materially harm the service or its infrastructure.

You may stop using Connectly at any time.

After termination, certain information may be retained where necessary for legal, security, billing, dispute-resolution, fraud-prevention, or legitimate operational purposes, subject to our Privacy Policy.

13. Disclaimers

Connectly is provided on an "as available" and "as is" basis to the extent permitted by applicable law.

We do not guarantee that Connectly will always be uninterrupted, error-free, or available.

We do not guarantee the availability, accuracy, performance, or continued operation of third-party services connected to Connectly.

14. Limitation of Liability

To the maximum extent permitted by applicable law, Connectly will not be liable for indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the service.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

15. Changes to These Terms

We may update these Terms from time to time to reflect changes to Connectly, our services, or applicable legal requirements.

When we make material changes, we may update the "Last Updated" date and provide additional notice where required.

Your continued use of Connectly after the effective date of updated Terms constitutes acceptance of the updated Terms to the extent permitted by applicable law.
